Terms of Service
Effective Date: April 21, 2026
1. Introduction
Welcome to HSH Ventures ("we," "our," or "us"). HSH Ventures is a TikTok Shop creator management agency that provides creator recruitment, content production, performance analytics, shop optimization, campaign strategy, and brand partnership services to e-commerce businesses ("Clients") operating on TikTok Shop and related platforms.
These Terms of Service ("Terms") govern your access to and use of our website located at https://hshventures.co (the "Site") and any services we provide. By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site or our services.
2. Services
HSH Ventures provides the following services to Clients, as outlined in individual service agreements:
- Creator Recruitment: Sourcing, vetting, and onboarding TikTok Shop affiliate creators on behalf of Clients.
- Content Production Management: Developing creative briefs, coordinating content creation with recruited creators, reviewing content for quality and compliance, and managing posting schedules.
- Performance Analytics: Tracking and reporting on key performance indicators including gross merchandise value (GMV), conversion rates, creator return on investment, and other relevant metrics.
- Shop Optimization: Product listing optimization, sample logistics coordination, affiliate commission structuring, and affiliate program strategy.
- Campaign Strategy: Planning and executing launch campaigns, seasonal promotions, and ongoing creator programs, including A/B testing of content formats and trend analysis.
- Brand-Creator Partnerships: Facilitating long-term affiliate relationships between Clients and creators, including structured commission agreements tied to performance.
The specific scope, deliverables, pricing, and terms for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") executed between HSH Ventures and the Client. In the event of a conflict between these Terms and a signed SOW, the SOW shall govern.
3. Client Obligations
By engaging HSH Ventures, Clients agree to:
- Provide timely access to their TikTok Shop Seller Center and any other platforms necessary for service delivery.
- Provide accurate product information, brand guidelines, imagery, and any other materials reasonably requested.
- Ship product samples to creators in a timely manner as coordinated by HSH Ventures.
- Maintain an active TikTok Shop account in good standing and comply with all applicable TikTok Shop policies and terms of service.
- Pay all invoices in accordance with the payment terms outlined in the applicable SOW.
- Not directly solicit or contract with creators introduced by HSH Ventures for a period of twelve (12) months following the termination of the service agreement, unless otherwise agreed in writing.
4. Creator Relationships
HSH Ventures recruits and manages creators on behalf of Clients. Creators engaged through our services are independent third parties and are not employees, agents, or representatives of either HSH Ventures or the Client. HSH Ventures does not guarantee the performance, conduct, or availability of any individual creator.
While we exercise reasonable care in vetting and managing creators, HSH Ventures is not responsible for content that a creator posts outside the scope of our management, nor for any creator's failure to comply with TikTok's community guidelines or commerce policies after content has been posted.
5. Payment Terms
Payment terms, including retainer amounts, performance bonuses, and payment schedules, are specified in the applicable SOW. Unless otherwise stated:
- Invoices are issued on the first business day of each month for the upcoming month's retainer.
- Payment is due within fifteen (15) days of the invoice date.
- Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
- HSH Ventures reserves the right to suspend services if payment is more than thirty (30) days overdue.
- Performance bonuses, where applicable, are calculated and invoiced monthly based on agreed-upon metrics.
6. Intellectual Property
Client Content: Clients retain all ownership rights to their product images, brand assets, trademarks, and any proprietary materials provided to HSH Ventures for the purpose of service delivery.
Creator Content: Content created by creators through our programs is subject to the terms of the applicable affiliate or creator agreement. Unless a separate content licensing agreement is in place, creator content is owned by the creator and licensed for use on TikTok Shop.
HSH Ventures Materials: All templates, frameworks, strategies, SOPs, reports, analytics dashboards, and other materials developed by HSH Ventures remain the intellectual property of HSH Ventures, unless explicitly transferred in writing.
7. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or non-public information received from the other party during the course of the engagement, including but not limited to: business strategies, financial data, client lists, creator databases, commission structures, GMV data, and internal processes. This obligation survives termination for two (2) years.
8. Term and Termination
- Either party may terminate with thirty (30) days' written notice after the initial term.
- HSH Ventures may terminate immediately for material breach, including non-payment.
- The Client may terminate immediately if HSH Ventures fails to perform after a fifteen (15) day cure period.
- Upon termination, the Client shall pay for all services rendered through the effective date.
9. Limitation of Liability
HSH Ventures does not guarantee specific GMV targets, conversion rates, viral content, or creator performance. Total liability shall not exceed fees paid in the three (3) months preceding any claim. HSH Ventures is not liable for indirect, incidental, or consequential damages.
10. Indemnification
The Client agrees to indemnify and hold harmless HSH Ventures from claims arising from: (a) the Client's products; (b) the Client's breach of TikTok Shop policies; (c) misrepresentation by the Client; or (d) the Client's breach of these Terms.
11. Platform Dependency
HSH Ventures is not responsible for changes to TikTok's algorithm, policies, commission structures, or platform availability that may affect service delivery or results.
12. Dispute Resolution
Disputes shall first be addressed through good faith negotiation. If unresolved within thirty (30) days, either party may pursue binding arbitration under the American Arbitration Association, conducted in Cheyenne, Wyoming.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions.
14. Service Delivery and Expectations
All services are subject to the applicable SOW. Results including GMV, creator performance, views, and conversions are influenced by factors outside our control including product quality, pricing, market conditions, and platform algorithm changes. Any projections shared in marketing materials represent potential outcomes based on industry benchmarks and are not a guarantee of results.
The Client acknowledges that success on TikTok Shop requires collaboration including timely sample fulfillment, competitive commissions, and quality products that meet consumer expectations.
15. Refund and Cancellation Policy
- Monthly retainer fees are non-refundable once services have been initiated for that billing period.
- If HSH Ventures fails to initiate services within seven (7) business days of receiving payment through no fault of the Client, the Client may request a full refund.
- Performance bonuses, once invoiced based on verified GMV data, are non-refundable.
- Clients on a 30-day pilot may discontinue after the pilot without further obligation. No refund will be issued for the completed period.
- No pro-rated refund will be issued for remaining days in a paid billing period upon termination.
- Setup and onboarding fees are non-refundable once the associated work has been performed.
Refund requests must be submitted in writing to support@hshventures.co. We will respond within ten (10) business days.
16. Modifications
HSH Ventures reserves the right to modify these Terms at any time. Continued use of the Site or services after any modification constitutes acceptance.
